Prepare Your Lease for a Business Buyer

Your premises can be a major condition of a business sale. San Diego Business Brokers Group helps owners consider value alongside the obligations a buyer must take on.

Read the assignment clause early

Find the signed lease, amendments and renewal documents. Your attorney should identify when landlord consent is needed and what information a buyer must provide.

Do not wait for a signed offer to discover a short remaining term or an option that cannot be exercised by a new owner. Location dependent earnings need a credible occupancy plan.

Separate affordable rent from sustainable profit

A favorable rent may not survive renewal or assignment. Buyers may model market rent when assessing cash flow, especially if you own the property through another entity.

Give the buyer the rent schedule, additional charges and renewal pricing. A promise to negotiate later does not provide the same certainty as written terms.

Check what survives your exit

A personal guarantee may continue after an assignment or a company sale. Ask your attorney to negotiate and document any landlord release rather than assuming closing ends your exposure.

If you plan to keep the property, treat the new lease as a separate negotiation. Business value and property income use different analysis, even when they are part of one exit decision.

Bring occupancy costs into your earnings documentation and your comparison of offer terms. See the transfer paperwork index for agency matters.

You can request a private valuation introduction while you assemble the lease file.
